This Acceptable Use Policy ("AUP") governs Customer's and Users' access to and use of Accordingly, Inc.'s ("Accordingly," "we," "our," or "us") platform, mobile app, APIs, AI features, logistics services, and any other systems or offerings (collectively, the "Services").
This AUP forms part of the Master Services Agreement ("MSA"). By accessing the Services, Customer and its Users agree to comply with this AUP.
1. General Obligations
Customer and Users must:
- Use the Services only for lawful business purposes
- Comply with all Documentation, usage limits, and technical requirements
- Maintain the security and confidentiality of all accounts and access credentials
- Use reasonable efforts to prevent unauthorized access
- Ensure all information submitted into the platform is accurate and lawful
- Comply with all applicable laws, including data protection, logistics, export controls, and safety laws
2. Prohibited Content
The following content may not be uploaded, stored, generated, transmitted, or processed through the Services:
2.1 Illegal or Harmful Content
- Content violating any law or regulation
- Harassing, defamatory, hateful, discriminatory, or threatening material
- Child sexual abuse material (CSAM)
- Human trafficking or exploitation content
- Violent extremism or terrorist materials
2.2 Malicious or Security-Threatening Content
- Malware, ransomware, viruses, bots, or harmful scripts
- Phishing or spoofing content
- Files intended to bypass security safeguards
2.3 Unauthorized or Sensitive Regulated Data (without required agreements)
Customer may not upload the following unless specifically permitted and all required agreements are executed (e.g., a BAA for HIPAA):
- Protected Health Information (PHI)
- Sensitive personal data about minors
- Financial account numbers or unmasked payment card data
- Government identification numbers
- Export-controlled materials
2.4 Copyright-Infringing Content
- Unauthorized copyrighted content
- Counterfeit or unlicensed media
- Materials violating third-party IP rights
3. Prohibited Activities
3.1 System Misuse
Customer may not:
- Interfere with or disrupt the Services
- Bypass authentication, rate limits, or usage restrictions
- Access the Services using methods not supported by Accordingly
- Reverse engineer, decompile, disassemble, extract, scrape, or attempt to derive source code
- Conduct penetration tests without written authorization
3.2 Fraud, Deception, or Misrepresentation
Customer may not:
- Create or submit fraudulent orders, shipments, returns, or inventory transactions
- Impersonate any person or entity
- Misrepresent identities, credentials, or authorization
3.3 Network or Resource Abuse
Prohibited actions include:
- Excessive or abusive consumption of bandwidth or storage
- Sending spam or unsolicited messages
- Using automated processes that degrade system performance
3.4 Data Abuse
Customer may not:
- Access or attempt to access other Customers' data
- Circumvent permissions or escalate privileges improperly
- Upload stolen or improperly obtained information
4. Logistics-Specific Acceptable Use Rules
These apply to any usage of Accordingly's logistics, warehousing, receiving, shipping, staging, or delivery features.
4.1 Prohibited Goods
Customer may not request storage, handling, or delivery of:
- Hazardous, flammable, explosive, radioactive, or poisonous materials
- Perishable goods requiring refrigeration
- Currency, precious metals, jewelry, weapons, ammunition
- Contraband or illegal items
4.2 Packaging Requirements
Customer must:
- Use packaging that meets industry freight standards (including NMFTA Rule 181 or equivalent)
- Package all Goods in new, defect-free cartons
- Use appropriate padding, blocking, bracing, sealing, and internal protection
- Ensure Goods can be safely handled, stored, and transported
Damage resulting from improper packaging is the Customer's responsibility.
4.3 Accuracy of Freight & Delivery Information
Customer must provide accurate:
- SKU identifiers
- Product descriptions
- Quantities
- Weights and dimensions
- Delivery addresses and instructions
- Dangerous goods declarations (if permitted)
Incorrect or misleading information may result in:
- Surcharges
- Refusal of service
- Delays
- Loss or damage for which Customer is responsible
4.4 Delivery Site Access & Safety
Customer must ensure that delivery sites are:
- Safe, accessible, and legally compliant
- Free from hazards
- Equipped with functional access (elevators, loading areas, etc.)
- Staffed by a responsible receiving party
Unsafe conditions may result in cancelled or failed deliveries and additional charges.
5. AI-Specific Acceptable Use Rules
The Services may contain AI-enabled functionality. Customer may not use AI features to:
5.1 Generate Harmful or Illegal Outputs
- Deepfakes intended to deceive
- Fraudulent or misleading documents
- Content that violates law or harms individuals
5.2 Endanger People or Property
AI outputs may not be used as the sole basis for:
- Safety-critical decisions
- Legal, medical, or financial determinations
- Employment decisions
- Automated order creation or asset movement without human review
5.3 Abuse or Exploit the Models
Customer may not:
- Attempt to extract training data or reverse engineer AI models
- Train competing models using Accordingly outputs
- Circumvent AI safety filters or restrictions
5.4 Misrepresent AI-Generated Content
Customer must not present AI-generated content as human-generated if doing so is misleading or harmful.
6. Security Requirements
Customer must:
- Use strong passwords and multifactor authentication (where supported)
- Maintain secure devices and networks accessing the Services
- Immediately notify Accordingly if credentials are compromised
- Restrict user access based on roles and least privilege
- Prevent unauthorized sharing of credentials
Customer may not:
- Allow multiple people to use a single user account
- Automate access except through documented APIs
7. Restrictions on Automated Access, Bots & Scraping
Customer may not:
- Scrape, crawl, or harvest data from the platform
- Copy large volumes of data for competitive or abusive purposes
- Use bots or automation outside Accordingly's documented API
- Extract or monitor system behavior to replicate or compete with Accordingly
8. Restrictions on Accordingly's Intellectual Property
Customer may not:
- Copy, frame, or reproduce the Services
- Modify or create derivative works of the Services
- Use Accordingly trademarks, logos, or branding without written permission
- Build competing services using knowledge gained through the platform
9. Enforcement
Accordingly may, at its discretion:
- Issue warnings
- Remove or block violating content
- Suspend or limit account access
- Terminate access for severe or repeated violations
- Notify law enforcement where required
- Pursue legal remedies, including injunctive relief
10. Reporting Violations
Violations of this AUP may be reported to:

Reports should include as much detail as possible.
11. Updates to This Policy
Accordingly may update this AUP periodically. Material changes will be communicated in accordance with the MSA.
