ACCORDINGLY AI USE & AUTOMATION POLICY

This AI Use & Automation Policy ("Policy") governs Customer's and Users' access to and use of all artificial intelligence features, automations, workflows, and related tools provided by Accordingly, Inc. ("Accordingly," "we," "our") as part of the Accordingly platform (collectively, the "AI Features").

This Policy is incorporated into the Master Services Agreement ("MSA") and applies to all Customers and their Users ("Users").

By accessing or using AI Features, Customer agrees to comply with this Policy.

1. Scope of AI Features

AI Features may include:

  • Natural-language queries and search
  • Automated drafting, classification, summarization, or insights
  • Workflow recommendations, task sequencing, and predictive suggestions
  • Automatic creation of structured entities (e.g., orders, items, customers, vendors, shipments)
  • Data extraction and auto-fill support
  • Embedded chat-based agent(s)
  • Any Accordingly-provided machine learning or automation tools

AI Features may evolve over time. Accordingly may update or replace models, algorithms, or logic without notice, provided such changes do not materially degrade overall functionality.

2. Customer's Responsibilities When Using AI Features

Customer acknowledges that:

2.1 Verification Required

AI-generated outputs ("AI Outputs") may include errors, hallucinations, omissions, or approximations. Customer must review, validate, and verify AI Outputs before relying on them.

2.2 Not a Substitute for Professional Advice

AI Outputs are not legal, financial, medical, compliance, engineering, or professional advice. Customer must not rely on AI Outputs as a sole source of truth in any high-stakes decision.

2.3 Human Oversight Required

AI Features may assist with—but may not autonomously finalize—actions that:

  • create financial or legal obligations
  • modify business-critical data
  • initiate shipments or inventory movements
  • impact safety or regulatory compliance

Customer must maintain adequate human supervision over all automated actions.

2.4 User Behavior Impacts Output

AI Outputs may depend on:

  • the phrasing or clarity of User prompts
  • the context provided
  • the quality of Customer Data

Customer is responsible for ensuring prompts and inputs are lawful, appropriate, and properly authorized.

3. Prohibited Uses of AI Features

Customer must not use AI Features to:

3.1 Generate Harmful or Illegal Content

  • Fraudulent, defamatory, or deceptive text
  • Misinformation, impersonation, or manipulation
  • Deepfakes or misleading representations
  • Content violating any applicable law

3.2 Endanger People, Property, or Business Operations

AI Features may not be used as the sole basis for decisions that:

  • impact safety or physical operations
  • trigger shipment of Goods without human approval
  • schedule or route deliveries without validation
  • approve financial transactions or invoices automatically
  • serve as regulatory or compliance determinations

3.3 Abuse or Reverse Engineer Models

Customer may not:

  • attempt to extract training data
  • reverse engineer, deconstruct, or model-map Accordingly's AI systems
  • use AI Outputs to train competing or derivative models
  • attempt to bypass AI safety restrictions or filters

3.4 Generate Unauthorized or Unlawful Automations

Customer may not trigger automations that:

  • create false orders, shipments, invoices, or business records
  • move inventory without proper chain-of-custody
  • issue vendor or customer communications without authorization
  • misrepresent identities, data, or intentions

4. Data Handling, Privacy & Security

4.1 Processing of Customer Data

AI Features may use Customer-provided data ("Customer Data") solely:

  • to generate AI Outputs
  • to provide, maintain, and improve the Services
  • to prevent abuse or misuse
  • to comply with law

Accordingly does not use Customer Data to train broad, non-Accordingly models unless Customer expressly opts in.

4.2 Sensitive Data

Unless covered by an executed BAA or DPA, Customer may not submit:

  • Protected Health Information (PHI)
  • regulated financial information
  • personal data of minors
  • export-controlled or classified information

4.3 Access Control & Security

Customer must:

  • protect credentials and limit access to authorized Users
  • configure automations and triggers responsibly
  • maintain secure devices and environment

5. Accuracy, Reliability & Model Behavior

Customer acknowledges that:

5.1 AI Outputs May Be Inaccurate or Inconsistent

AI models may occasionally:

  • produce incomplete or incorrect results
  • omit context
  • vary across similar prompts
  • provide outdated or approximate information

5.2 No Guarantees of Error-Free Operation

Accordingly does not guarantee that AI Features:

  • are 100% accurate
  • reflect real-time data in all cases
  • identify all errors or inconsistencies
  • are appropriate for all use cases

5.3 Customer is Solely Responsible

Customer is solely responsible for decisions, actions, or omissions based on AI Outputs.

6. Automation Rules & Guardrails

6.1 Automated Workflows Must Be Reviewed

Automations (e.g., triggers, rules, flows, scheduled actions) must:

  • be configured carefully
  • include proper approvals and checks
  • not be used to bypass human review in sensitive areas

6.2 Responsibility for Automated Actions

Customer is responsible for:

  • every automated action performed within its account
  • incorrectly configured automations
  • unintended consequences of automation logic
  • communications, orders, or workflows generated by automation

6.3 Safety & Operational Integrity

Automations must not:

  • override safety constraints
  • manipulate inventory or shipment data unlawfully
  • trigger actions that endanger people or property
  • schedule or authorize deliveries without verified instructions

7. Restrictions on Use for Competitive Purposes

Customer may not:

  • use Accordingly's AI Outputs to build or train competing products
  • test Accordingly's AI systems for benchmarking against competitors
  • scrape or harvest system behavior to replicate the Services
  • use Accordingly's systems to perform model extraction attacks

8. Monitoring, Enforcement & Suspension

Accordingly may:

  • monitor usage for compliance
  • restrict, filter, or block content
  • suspend AI Features or automations that pose risks
  • rate-limit or throttle excessive activity
  • remove access for violations
  • report illegal misuse to relevant authorities

Repeated or severe misuse may result in termination under the MSA.

9. Customer Indemnification

Customer will indemnify Accordingly from any claims arising from:

  • misuse of AI Features
  • reliance on incorrect AI Outputs
  • creation of misleading or harmful content
  • unauthorized or unsafe automations
  • violations of law or the AUP

10. Changes to AI Features and Models

Accordingly may update, replace, or modify:

  • AI models, tuning methods, or algorithms
  • safety filters, behavior controls, or output constraints
  • automation capabilities and triggers

Such changes may occur at any time as part of ongoing improvement.

11. Updates to This Policy

Accordingly may revise this Policy periodically. Material updates will be communicated in accordance with the MSA.
